Terms of Service

Version v3 - Last Updated: June 20, 2026

These Terms of Service ("Terms") govern your access to and use of the Talk To An Expert platform, website, applications, scheduling tools, video consultation features, account features, payment features, communication tools, and related services operated by Talk To An Expert LLC ("TTAE," "we," "us," or "our").

These Terms are intended for clients and client companies using TTAE to request, schedule, or participate in consultations with independent attorneys licensed in one or more U.S. jurisdictions.

Your use of the Platform is also subject to our Privacy Policy, Refund Policy, and any additional terms, notices, disclosures, or checkout terms that are posted on or made available through the Platform. Those policies and notices are incorporated into these Terms by reference.

1. Introduction and Acceptance of Terms

These Terms apply to individuals, business entities, client companies, company representatives, employees, contractors, agents, and other users who access or use TTAE to seek consultations with independent attorneys ("Client," "Client Company," "you," or "your").

By registering for, accessing, purchasing, subscribing to, scheduling through, or using the Platform, you represent and agree that:

If you do not agree to these Terms, you may not access or use the Platform.

2. Nature of the Platform - No Legal Services Provided by TTAE

TTAE is a technology-based legal-tech platform that helps clients and client companies connect with independent attorneys licensed in one or more U.S. jurisdictions for scheduled consultations.

TTAE is not a law firm, does not practice law, and does not provide legal advice or legal services.

TTAE does not:

All legal advice, legal opinions, legal analysis, and legal services are provided solely by independent licensed attorneys, if and when an attorney accepts your consultation or matter.

3. Independent Attorneys

Attorneys available through or connected via the Platform are independent professionals. They are not employees, agents, partners, joint venturers, representatives, or contractors of TTAE for the purpose of providing legal services.

Each attorney is solely responsible for:

TTAE may perform administrative, onboarding, identity, availability, or platform-related checks. Such checks are for platform operations only and do not constitute legal supervision, legal endorsement, attorney ranking, legal quality control, or a guarantee of any attorney's services.

TTAE does not guarantee the availability of any attorney; that a specific attorney will accept your consultation or matter; an attorney's qualifications for your specific issue; an attorney's legal conclusions or advice; the outcome of your legal matter; that a consultation will resolve your issue; or that an attorney will provide services beyond the scheduled consultation.

4. No Attorney Referral, Recommendation, or Selection by TTAE

TTAE does not endorse, recommend, rank, select, or choose any attorney for you.

Any matching, listing, scheduling, routing, filtering, administrative support, or availability-based presentation provided through the Platform is for platform functionality only. It does not constitute a legal referral; a lawyer referral service, unless expressly disclosed and operated as such in compliance with applicable law; a legal recommendation; a legal judgment; a statement that a particular attorney is the most appropriate attorney for your matter; or a guarantee that the attorney is authorized to advise you on your specific legal issue.

You are solely responsible for deciding whether to consult with, engage, retain, or continue working with any attorney.

5. Attorney-Client Relationship

Use of the Platform does not automatically create an attorney-client relationship.

An attorney-client relationship may be formed only between you and an independent attorney, and only if the attorney expressly accepts the consultation, engagement, or matter under applicable law and professional conduct rules.

TTAE is not a party to any attorney-client relationship. You understand and agree that:

6. No Emergency Legal Services

Important - Not for Emergencies.

The Platform is not intended for emergency legal matters or situations requiring immediate legal action. You should not use or rely on the Platform as your only source of legal help for urgent court deadlines; imminent filings; arrests; restraining orders; protective orders; active litigation deadlines; eviction deadlines; immigration deadlines; statute of limitations deadlines; lien, notice, claim, or filing deadlines; criminal proceedings requiring immediate representation; or any matter where delay could prejudice your legal rights.

You are solely responsible for monitoring, calculating, preserving, and protecting your own legal deadlines and rights. If your matter is urgent or time-sensitive, you should immediately contact a qualified attorney, court, government agency, emergency service, or other appropriate professional directly.

7. No Tax, Financial, Accounting, or Business Advice by TTAE

TTAE does not provide legal, tax, financial, investment, accounting, insurance, business, or professional advice. Any such advice, if provided, is provided only by an appropriately licensed independent professional and not by TTAE.

You should not rely on the Platform, website content, intake questions, administrative communications, support messages, marketing materials, or platform features as a substitute for professional advice.

8. Platform Services

TTAE may provide access to features such as account creation; client intake forms; administrative onboarding; consultation scheduling; video consultations through Zoom or other third-party video tools; payment processing through third-party payment processors; subscription access to consultation-related platform services; communication and administrative tools; customer support; document upload or information submission features; and reminders, notifications, and operational communications.

TTAE may update, change, suspend, restrict, replace, or discontinue any part of the Platform at any time, with or without notice, unless otherwise required by law.

9. Third-Party Services

TTAE uses third-party providers to operate, host, secure, process payments for, and support the Platform. These may include, without limitation:

Your use of third-party services may be subject to the terms, privacy policies, security practices, and data practices of those third-party providers. TTAE is not responsible for outages, errors, failures, delays, data practices, acts, omissions, unauthorized access, service interruptions, or other issues caused by third-party providers.

10. Fees, Payments, Subscriptions, and Billing

Certain features of the Platform may require payment. Fees may include subscription fees; one-time fees; consultation access fees; administrative fees; platform access fees; scheduling fees; processing fees; and other charges shown at checkout, on invoices, or on the Platform.

By purchasing, subscribing, or using paid Platform features, you authorize TTAE and its third-party payment processors to charge your selected payment method for all applicable fees, taxes, renewal charges, and payment-related amounts.

Unless stated otherwise at checkout or in a written agreement:

You are responsible for all taxes, bank fees, currency conversion fees, chargeback costs, payment provider fees, and payment-related charges associated with your purchase.

11. Subscription Renewal and Cancellation

If you purchase a subscription, your subscription may automatically renew at the end of each billing period unless you cancel before the renewal date.

You may cancel your subscription before the next renewal date through the Platform, through your account settings, or by contacting TTAE support if account-based cancellation is not available.

Cancellation stops future billing but does not automatically entitle you to a refund for prior payments, unused time, unused consultations, unused access, or unused services, except where required by law or expressly stated at checkout or in the Refund Policy.

TTAE may change subscription pricing, features, or billing terms upon notice where required by law. Continued use of the Platform after changes become effective constitutes acceptance of the updated subscription terms.

12. Stripe Payment Processing

Payments are processed by independent third-party payment processors, including Stripe. TTAE does not store full credit card numbers or complete payment card details.

By making a payment, you agree that your payment information may be processed by Stripe or another payment processor in accordance with their own terms, privacy policy, and security practices.

TTAE is not responsible for declined transactions; payment processor errors; bank delays; chargebacks; payment disputes; unauthorized use of your payment method; fees charged by banks or payment providers; or payment holds, reserves, reviews, restrictions, or account actions imposed by payment processors.

You agree not to initiate improper chargebacks or payment disputes for services that were provided, made available, scheduled, or otherwise delivered in accordance with these Terms.

13. No Fee-Splitting with Attorneys

TTAE does not share in attorneys' legal fees in a manner prohibited by applicable professional conduct rules.

Fees paid to TTAE are for access to and use of the Platform, technology, scheduling, administrative, subscription, communication, customer support, payment, and related platform services.

Any separate attorney fee arrangement, if applicable, is solely between you and the attorney, unless otherwise clearly disclosed in writing in a manner permitted by applicable law and professional rules.

Nothing in these Terms is intended to interfere with, direct, control, or influence any attorney's independent professional judgment.

14. Refunds, Rescheduling, and Credits

Unless otherwise stated at checkout, in the Refund Policy, or required by law, payments made to TTAE are non-refundable.

TTAE may, in its sole discretion, issue credits, refunds, rescheduling options, account adjustments, or other remedies.

Cancellation of a subscription stops future billing but does not automatically entitle you to a refund for prior payments, unused time, unused access, or unused services.

If a scheduled consultation cannot occur due to attorney unavailability, technical issues, operational issues, or other circumstances, TTAE may offer rescheduling, credit, or another commercially reasonable solution.

TTAE is not responsible for your failure to attend a scheduled consultation, your failure to provide accurate contact information, your failure to use required technology, or your failure to join a scheduled call on time.

15. Client Responsibilities

You agree to:

You are responsible for the information you provide and for the decisions you make before, during, and after any consultation.

16. Consultation Recording and Consent

Consultations may not be recorded by you or any other participant unless all legally required consents have been obtained.

Where TTAE enables recording functionality for administrative, quality, security, training, compliance, dispute-resolution, or operational purposes, users will be notified where required by law.

You are responsible for complying with all applicable recording, consent, privacy, wiretapping, and communication laws in connection with any recording you initiate or request.

TTAE may suspend or terminate access if it determines that recording features have been misused or that required consents were not obtained.

17. Confidentiality and Attorney-Client Communications

TTAE implements reasonable administrative, technical, and organizational safeguards designed to protect communications and information submitted through the Platform.

However, TTAE does not determine whether attorney-client privilege applies. The existence and scope of attorney-client privilege, work-product protection, confidentiality obligations, or any similar legal protection are determined by the attorney and applicable law.

TTAE does not guarantee that information submitted before an attorney accepts your matter will be privileged or protected.

To the extent information submitted through the Platform may be subject to attorney-client privilege, work-product doctrine, confidentiality duties, or other professional protections, TTAE will use reasonable safeguards designed to protect such information from unauthorized access or disclosure.

TTAE does not sell legal consultation content and does not use attorney-client communications or uploaded legal matter content for advertising purposes.

You should avoid submitting highly sensitive, urgent, or unnecessary information until an attorney has confirmed whether they can accept your matter and advise you.

18. Platform Data and User Content

You retain ownership of information, documents, messages, files, and content you submit to the Platform ("User Content").

You grant TTAE a limited, non-exclusive, worldwide, royalty-free license to process, store, transmit, display, reproduce, and use User Content solely as necessary to operate the Platform; facilitate consultations; provide customer support; process payments; maintain security; troubleshoot technical issues; comply with legal obligations; enforce these Terms; and protect the rights, safety, and security of TTAE, users, attorneys, and third parties.

You represent and warrant that you have the right to submit any information or documents you upload to the Platform; your User Content does not violate applicable law or third-party rights; your User Content is accurate to the best of your knowledge; and your submission of User Content does not violate any confidentiality obligation, court order, contract, or legal restriction applicable to you.

19. Data Security

TTAE uses commercially reasonable safeguards designed to protect Platform data. These may include access controls; authentication measures; encryption in transit and, where appropriate, at rest; secure cloud infrastructure; monitoring and incident response measures; limited access by authorized personnel and service providers; and administrative and organizational security procedures.

No system is completely secure. TTAE cannot guarantee absolute security, uninterrupted access, error-free operation, or that unauthorized third parties will never defeat security measures.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

20. Privacy

TTAE's collection, use, storage, disclosure, and protection of personal information are described in the Privacy Policy.

By using the Platform, you acknowledge that TTAE may process personal information as described in the Privacy Policy and as necessary to operate the Platform, process payments, facilitate consultations, provide support, maintain security, comply with law, and enforce these Terms.

If you use the Platform on behalf of a company or submit information about another person, you represent that you have the authority and lawful basis to provide such information to TTAE.

21. Prohibited Activities

You may not:

22. Intellectual Property

TTAE owns all rights, title, and interest in and to the Platform, including software, design, branding, trademarks, logos, content, workflows, interfaces, databases, technology, business processes, and related intellectual property.

These Terms do not transfer any ownership rights to you. You receive only a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Platform in accordance with these Terms.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, or exploit any part of the Platform except as expressly permitted by TTAE.

23. Marketing, Educational, and Website Content

Content made available on the Platform, website, blog, emails, scripts, intake forms, FAQs, advertisements, or other materials is provided for general informational and administrative purposes only.

Such content does not constitute legal advice, legal opinion, attorney advertising on behalf of any specific attorney, or a substitute for consultation with a qualified attorney.

You should not act or refrain from acting based on Platform content without consulting an appropriate professional.

24. Availability and Platform Changes

TTAE may modify, suspend, restrict, replace, or discontinue the Platform, any feature, or any service at any time.

TTAE does not guarantee that the Platform will be available at all times, that consultations will be available at any specific time, or that any attorney will be available when requested.

TTAE may perform maintenance, updates, security actions, or operational changes that affect Platform availability.

25. No Warranty

The Platform is provided on an "as is" and "as available" basis. TTAE does not warrant that the Platform will be uninterrupted or error-free; that consultations will be available at all times; that any attorney will accept your matter; that any attorney will provide legal advice beyond the consultation scope; that any legal result will be achieved; that the Platform will meet your expectations, legal needs, business needs, or operational requirements; that any information submitted through the Platform will be privileged before an attorney accepts your matter; or that third-party services will operate without interruption or error.

To the maximum extent permitted by law, TTAE disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability.

26. Limitation of Liability

To the maximum extent permitted by law, TTAE shall not be liable for:

To the maximum extent permitted by law, TTAE's total liability for any claim arising out of or relating to the Platform or these Terms shall not exceed the amount you paid to TTAE during the three months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, TTAE's liability will be limited to the greatest extent permitted by law.

27. Indemnification

You agree to defend, indemnify, and hold harmless TTAE, its owners, officers, directors, employees, contractors, service providers, affiliates, successors, and assigns from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

28. Suspension and Termination

TTAE may suspend, restrict, or terminate your access to the Platform if you violate these Terms; payment fails; you initiate improper chargebacks or payment disputes; you create legal, regulatory, security, reputational, payment, or operational risk; your use of the Platform is unlawful, abusive, fraudulent, or harmful; TTAE is required to do so by law, court order, payment processor requirement, or regulatory request; or continued access may harm TTAE, attorneys, clients, users, or third parties.

Upon termination, your right to access the Platform ends immediately. Certain provisions of these Terms will survive termination, including payment obligations, disclaimers, limitation of liability, indemnification, confidentiality-related provisions, intellectual property provisions, dispute resolution, and governing law.

29. Electronic Communications and Notices

By using the Platform, you consent to receive electronic communications from TTAE, including account notices, billing notices, scheduling communications, reminders, security notices, service updates, support messages, and legal notices.

Electronic communications may be sent by email, through the Platform, by text message where permitted, or through other contact information you provide. You are responsible for keeping your contact information accurate and current.

30. Changes to the Platform and Terms

TTAE may update the Platform or these Terms from time to time. Updated Terms will be posted on the Platform or otherwise made available. The updated Terms will be effective as of the date stated in the updated version, unless otherwise required by law. Your continued use of the Platform after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using the Platform.

31. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

32. Dispute Resolution and Venue

Before filing any formal claim, you agree to first contact TTAE and attempt to resolve the dispute informally.

Any dispute arising out of or relating to these Terms or the Platform shall be brought exclusively in the state or federal courts located in Delaware, unless otherwise required by applicable law. You consent to the personal jurisdiction and venue of those courts.

Nothing in this section prevents TTAE from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, security, systems, users, attorneys, or Platform operations.

33. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

34. No Waiver

TTAE's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of TTAE.

35. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without TTAE's prior written consent.

TTAE may assign, transfer, or delegate these Terms or any rights or obligations under these Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, corporate transaction, or by operation of law.

36. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, checkout terms, and any other policies or notices incorporated by reference, constitute the entire agreement between you and TTAE regarding your use of the Platform. They supersede all prior or contemporaneous agreements, communications, representations, and understandings relating to the Platform.

These Independent Attorney Terms and Conditions ("Attorney Terms") govern access to, use of, participation in, listing on, or provision of consultations through the Talk To An Expert platform, website, applications, scheduling tools, video consultation features, account features, payment features, communication tools, customer support channels, and related services operated by Talk To An Expert LLC ("TTAE," "we," "us," or "our") (collectively, the "Platform") by licensed attorneys, law firms, legal professionals, and authorized law firm representatives ("Attorney," "Law Firm," "you," or "your").

These Attorney Terms are intended to be consistent with applicable U.S. professional conduct principles, including principles reflected in the ABA Model Rules of Professional Conduct and applicable state professional conduct rules. Attorneys and Law Firms remain solely responsible for compliance with the professional rules, bar rules, court rules, licensing requirements, advertising rules, confidentiality obligations, trust-account rules, and laws applicable to them.

These Attorney Terms should be read together with TTAE's Terms of Service, Privacy Policy, Legal Disclaimer / No Legal Advice Notice, State-Specific Unauthorized Practice of Law (UPL) Disclosures, Refund Policy, checkout terms, onboarding materials, attorney profile rules, data security requirements, and any additional policies or notices made available through the Platform.

1. Introduction and Acceptance of Attorney Terms

By registering for, accessing, using, being listed on, accepting consultations through, or otherwise participating in the Platform, you represent, warrant, acknowledge, and agree that:

If you do not agree to these Attorney Terms, you may not access, use, be listed on, or provide consultations through or in connection with the Platform.

2. Nature of the Platform - TTAE Is Not a Law Firm

TTAE is a technology-based legal-tech platform. TTAE is not a law firm, does not practice law, does not provide legal advice, and does not provide legal services.

TTAE does not provide legal advice; issue legal opinions; represent clients in legal matters; act as legal counsel; prepare, review, approve, negotiate, or file legal documents as legal counsel; appear in court or before any government, administrative, regulatory, arbitration, or other authority; determine legal rights, remedies, risks, defenses, obligations, deadlines, claims, strategy, or legal course of action; form or participate in any attorney-client relationship; conduct legal conflict checks; determine whether attorney-client privilege applies; determine whether you are authorized to advise a specific user regarding a specific matter or jurisdiction; or control, supervise, direct, interfere with, or influence your legal judgment.

TTAE may provide technology, scheduling, account, communication, billing, payment, administrative, customer support, onboarding, security, and related platform services.

All legal advice, legal opinions, legal analysis, legal recommendations, and legal services are provided solely and independently by the Attorney or Law Firm, directly to the client or prospective client, if and when the Attorney accepts a consultation, engagement, or matter.

3. Independent Attorney Status

You are an independent professional. You are not an employee, agent, partner, joint venturer, representative, legal service provider, or legal contractor of TTAE for the purpose of providing legal services.

Nothing in these Attorney Terms creates an employment relationship; a partnership; a joint venture; an agency relationship; a fiduciary relationship; an attorney-client relationship between you and TTAE; a supervisory legal relationship between TTAE and you; or any right for TTAE to control your independent professional judgment.

You are solely responsible for your legal advice, legal services, professional conduct, client relationships, conflicts, confidentiality, privilege obligations, licensing, competence, engagement terms, fee arrangements, and compliance with applicable law and professional rules.

4. Attorney Licensing, Authorization, and Good Standing

You represent and warrant that:

TTAE may request, collect, review, or retain administrative verification materials, including full legal name; law firm name; state bar jurisdiction(s); bar number(s); license status; public bar profile information; certificate of good standing; disciplinary disclosures; malpractice or professional liability insurance information; practice area information; identity verification information; and periodic recertification responses.

TTAE's administrative review of licensing information is not a legal determination, legal endorsement, legal recommendation, or guarantee to any user that you are appropriate, authorized, competent, or suitable for a specific matter.

5. Immediate Notice of Licensing, Discipline, or Status Changes

You must immediately notify TTAE in writing if any of the following occurs: suspension; disbarment; inactive status; administrative suspension; resignation from a bar; limitation, restriction, or condition on your right to practice; disciplinary complaint, investigation, sanction, order, or proceeding; change in good standing; failure to pay bar dues or registration fees; malpractice or professional liability insurance lapse, cancellation, denial, or material change; criminal charge, professional misconduct allegation, or regulatory matter that may affect Platform participation; change in jurisdictional authorization; change in practice areas; change in firm affiliation; change in ability to provide consultations; or any event that may make information provided to TTAE or Platform users inaccurate, incomplete, outdated, or misleading.

TTAE may suspend, restrict, remove, or terminate your Platform access or profile if any such issue arises or if TTAE cannot verify your licensing, good standing, authorization, or compliance status.

6. Periodic Recertification and Ongoing Verification

TTAE may require you to periodically recertify your licensing; good standing; jurisdictional authorization; professional liability insurance status; disciplinary status; practice areas; conflicts responsibility; UPL compliance; confidentiality obligations; data security obligations; advertising compliance; no fee-splitting acknowledgment; independent professional judgment acknowledgment; and agreement to these Attorney Terms and related Platform policies.

TTAE may require recertification every six months, annually, upon renewal of Platform participation, upon material policy changes, or whenever TTAE determines that recertification is appropriate.

Failure to complete recertification may result in suspension, restriction, removal, or termination of Platform access.

7. Per-Consultation Attorney Confirmation

Before accepting or participating in any consultation, booking, engagement, or matter through or in connection with the Platform, you are responsible for determining whether you may proceed under applicable law and professional conduct rules.

By accepting a consultation, booking, or matter, you confirm that:

TTAE does not determine whether you may ethically or legally accept any consultation, engagement, or matter.

8. Unauthorized Practice of Law and Jurisdiction

You agree not to provide legal advice, legal opinions, legal analysis, legal recommendations, legal services, or representation through or in connection with the Platform in any jurisdiction where doing so would violate applicable law, court rules, bar rules, professional conduct rules, or unauthorized practice of law restrictions.

You agree not to assist TTAE, any user, any client, any prospective client, any law firm, any non-lawyer, or any third party in the unauthorized practice of law.

You are solely responsible for determining whether you are authorized to advise a user regarding a specific jurisdiction; whether the matter involves federal, state, local, tribal, administrative, agency, foreign, cross-border, or special-practice issues; whether pro hac vice admission, temporary practice rules, in-house counsel rules, agency admission, special registration, or other authorization is required; whether your conduct would create a systematic and continuous presence in a jurisdiction where you are not authorized to practice; and whether your participation complies with applicable multi-jurisdictional practice rules.

You must decline or limit any consultation, engagement, or matter where you are not authorized, competent, or permitted to advise.

9. Conflicts of Interest

You are solely responsible for conducting all conflict checks required by applicable law, bar rules, court rules, professional conduct rules, firm policy, and professional judgment before accepting any consultation, engagement, or matter.

TTAE does not conduct legal conflict checks and does not determine whether a conflict of interest exists.

You agree to perform conflict checks before providing legal advice; obtain informed consent where permitted and required; decline or terminate consultations or engagements where conflicts cannot be resolved; avoid receiving or reviewing unnecessary confidential information until you determine whether you may proceed; communicate any legally required limitations to the user; and comply with duties owed to current clients, former clients, prospective clients, third parties, and courts.

If a conflict arises during or after a consultation, you are solely responsible for handling the issue in compliance with applicable professional rules.

10. Attorney-Client Relationship and Scope of Engagement

Any attorney-client relationship is formed exclusively between you and the client or prospective client, and only if you expressly accept the consultation, engagement, or matter under applicable law and professional conduct rules.

TTAE is not a party to any attorney-client relationship.

You are solely responsible for determining whether an attorney-client relationship has been formed; explaining the existence, scope, limits, duration, and termination of any attorney-client relationship; providing any engagement letter, limited-scope agreement, fee agreement, conflict waiver, informed consent, disclaimer, closing letter, non-engagement letter, or notice required by applicable law, bar rules, court rules, or professional conduct rules; defining the scope of any consultation or engagement; communicating whether the consultation is limited in scope; communicating whether you will or will not provide ongoing representation after the consultation; and complying with all client communication duties.

Scheduling a consultation through the Platform does not automatically create an attorney-client relationship. Payment to TTAE does not create an attorney-client relationship with TTAE.

11. Prospective Clients, Confidentiality, and Privilege

You are solely responsible for determining and complying with duties owed to prospective clients, clients, former clients, and third parties.

You are solely responsible for determining whether attorney-client privilege, work-product protection, confidentiality obligations, prospective-client duties, or other protections apply to any communication or information submitted through or in connection with the Platform.

TTAE uses reasonable administrative, technical, and organizational safeguards designed to protect Platform data, but TTAE does not determine whether privilege applies and does not act as legal counsel.

You agree to comply with all confidentiality duties applicable to you; protect confidential information and legal matter information; avoid unnecessary collection or review of sensitive information before conflicts are assessed; comply with protective orders, court orders, confidentiality agreements, and legal restrictions; promptly notify TTAE of any known or suspected unauthorized access, disclosure, or misuse of Platform data; and not disclose user information except as permitted by law, professional obligations, the user's authorization, and applicable Platform policies.

12. Independent Professional Judgment

You retain sole and independent professional judgment over all legal advice, legal analysis, legal opinions, legal recommendations, legal services, client communications, conflicts, competence assessments, and engagement decisions.

TTAE does not control, direct, supervise, interfere with, or influence your professional judgment.

You must not allow TTAE, Platform features, payment arrangements, user expectations, marketing materials, support communications, ratings, reviews, scheduling workflows, or administrative processes to interfere with your independent professional judgment.

If any Platform workflow appears inconsistent with your professional obligations, you must decline, limit, pause, or stop participation as necessary and notify TTAE.

13. Fees, Payments, No Fee-Splitting, and No Improper Referral Compensation

TTAE may charge fees for access to and use of the Platform, including technology, scheduling, administrative, communication, subscription, payment, customer support, account, and related platform services.

Such fees may include subscription-based, usage-based, processing-based, administrative, or other fees described on the Platform, in order forms, in checkout flows, in invoices, or in written agreements.

You acknowledge and agree that:

TTAE does not control your legal fees, does not determine the reasonableness of your legal fees, and does not provide legal advice regarding your fee arrangements.

14. No Trust Account, Escrow, or Client Funds Role by TTAE

Unless expressly agreed in writing and legally permitted, TTAE does not hold client trust funds; operate an attorney trust account; act as escrow agent; determine ownership of attorney fees; manage retainers; resolve attorney-client fee disputes; determine whether funds are earned or unearned; determine whether a payment must be placed in trust; or determine whether a refund is required under professional conduct rules.

If you receive or process attorney fees, retainers, advance payments, settlement funds, or client funds, you are solely responsible for complying with all applicable trust-account, safekeeping property, refund, accounting, recordkeeping, fee agreement, and professional conduct obligations.

15. Payment Processing, Chargebacks, and Non-Payment

Payments may be processed by independent third-party payment processors, including Stripe or other providers.

TTAE is not responsible for declined payments; chargebacks; payment disputes; non-payment by clients; payment processor holds, reserves, reviews, restrictions, or account actions; bank delays; card network rules; payment processor fees; or user payment misuse.

You agree to reasonably cooperate with TTAE regarding payment disputes, chargebacks, refund requests, billing questions, and payment processor inquiries, while preserving applicable confidentiality and privilege obligations.

You are solely responsible for determining whether any refund, fee dispute, chargeback, or payment issue affects your duties to a client under applicable professional conduct rules.

16. Attorney Profiles, Advertising, and Communications About Services

You are solely responsible for ensuring that all attorney profile information, law firm information, practice area descriptions, credentials, statements, advertisements, testimonials, ratings, reviews, specialization claims, fee descriptions, availability information, and communications about your services comply with applicable law, bar rules, advertising rules, solicitation rules, and professional conduct rules.

You agree that your Platform profile and communications must not:

TTAE may remove, edit, restrict, suspend, or reject profile content that TTAE believes may violate these Attorney Terms, Platform policies, applicable law, professional conduct rules, user trust, or Platform integrity.

TTAE's review or display of profile content does not make TTAE responsible for the legal compliance of that content.

17. No TTAE Endorsement, Ranking, Selection, or Legal Referral

TTAE does not endorse, recommend, rank, select, choose, evaluate, or guarantee any attorney for any user.

Any matching, listing, routing, filtering, availability display, scheduling, administrative support, or platform-based connection provided through the Platform is for platform functionality and operational coordination only.

It does not constitute a legal referral; a lawyer referral service, unless expressly disclosed and operated as such in compliance with applicable law; a legal recommendation; a legal opinion about your suitability; a legal judgment; a guarantee that you are appropriate for a specific matter; or a guarantee that you are authorized to advise on a specific issue or in a specific jurisdiction.

You must not state or imply that TTAE has endorsed, recommended, ranked, selected, certified, approved, guaranteed, or specially chosen you, unless TTAE has expressly authorized the statement in writing and the statement is legally permitted.

18. Professional Liability / Malpractice Insurance

You are solely responsible for maintaining professional liability or malpractice insurance where required by law, bar rules, engagement terms, firm policy, contract, or professional judgment.

TTAE does not provide malpractice insurance for you and does not insure your legal advice, legal services, professional conduct, or attorney-client relationships.

TTAE may require proof of current professional liability insurance, insurance disclosures, policy information, or periodic updates as a condition of Platform participation.

You must immediately notify TTAE if your professional liability insurance is cancelled, expires, lapses, is denied, is materially changed, or is no longer in effect, if insurance is required by TTAE or represented to Platform users. You must not misrepresent your insurance status to TTAE or Platform users.

19. Consultation Conduct, Urgent Matters, and Limited-Scope Issues

You agree to conduct all consultations professionally and in compliance with applicable law and professional conduct rules.

You are solely responsible for determining whether a matter is urgent, deadline-sensitive, outside your competence, outside your jurisdiction, inappropriate for a limited consultation, requires immediate representation, requires court action, requires filing, requires a notice, requires preservation of rights, or otherwise should not proceed through the Platform.

You agree not to guarantee outcomes, pressure users into engagements, misrepresent legal rights, or provide advice outside your authorized jurisdiction or competence.

Where required by law or professional rules, you are responsible for communicating consultation scope; limitations of the consultation; whether ongoing representation is or is not being provided; any required deadlines or urgency disclaimers; any non-engagement or limited-engagement limitations; and any need for immediate independent legal action.

TTAE is not responsible for determining whether a user's matter is urgent, time-sensitive, or appropriate for limited consultation.

20. Ongoing Representation Outside the Platform

If you and a user decide to enter into an ongoing attorney-client relationship outside the Platform, that relationship is solely between you and the user.

You are solely responsible for engagement letters; fee agreements; trust-account compliance; conflicts; confidentiality; client communications; scope of representation; termination of representation; court filings; deadlines; malpractice risk; professional conduct compliance; and billing, refunds, and client funds.

TTAE is not a party to any ongoing representation and is not responsible for your legal services, fee arrangements, client communications, filings, deadlines, or professional obligations.

Nothing in these Attorney Terms restricts a client's right to choose counsel or restricts your professional obligations to a client. Any Platform fees, billing arrangements, or order-form obligations must be structured and applied only in a manner permitted by applicable professional conduct rules.

21. Confidentiality, Data Protection, and Platform Security

You agree to comply with all applicable confidentiality, privacy, cybersecurity, data protection, privilege, court order, protective order, and professional conduct obligations.

You agree to protect login credentials; use secure devices and networks; enable multi-factor authentication where required or available; not share account access; not allow unauthorized persons to access Platform data; access Platform data only for authorized professional purposes; not download, store, copy, disclose, or transmit user information except as permitted by law, professional obligations, user authorization, and Platform policies; promptly report suspected unauthorized access, disclosure, compromise, breach, or misuse of Platform data; comply with TTAE's reasonable security requirements; and cooperate with TTAE regarding security incidents, legal requests, vendor issues, or user privacy requests, while preserving applicable confidentiality and privilege obligations.

You are responsible for the security of devices, systems, software, networks, personnel, and vendors you use to access or process Platform information.

22. Use of AI Tools, Transcription, Summaries, and Third-Party Technology by Attorney

You must not submit, upload, disclose, copy, or transmit user legal matter information, confidential information, attorney-client communications, consultation content, or uploaded documents to public AI tools, third-party AI systems, transcription tools, analytics tools, external storage tools, or other third-party services unless:

If you use AI, automation, transcription, summarization, or other technology in connection with legal services, you are solely responsible for professional judgment, review, accuracy, confidentiality, supervision, and compliance with applicable rules.

TTAE does not authorize you to use legal matter content for AI model training, targeted advertising, or unauthorized data processing.

23. Recording, Transcription, and Consent

You must not record, transcribe, summarize, or disclose consultations or Platform communications unless all legally required consents have been obtained and the activity is permitted by applicable law, professional conduct rules, client obligations, and Platform policies.

If TTAE enables recording, transcription, or summary functionality, such functionality may be subject to additional notices, consents, policies, and restrictions.

You are responsible for complying with all recording, consent, privacy, wiretapping, confidentiality, privilege, and professional conduct obligations applicable to your conduct.

24. Client Complaints, Regulatory Inquiries, and Cooperation

You agree to reasonably cooperate with TTAE regarding user complaints; attorney-client disputes; refund requests; chargebacks; payment processor inquiries; regulatory inquiries; bar complaints; licensing inquiries; security incidents; privacy requests; legal requests; and investigations of misuse, misconduct, or policy violations.

Cooperation must be provided in a manner consistent with your confidentiality, privilege, and professional conduct obligations.

TTAE may suspend, restrict, or terminate your access during review of a complaint, inquiry, or risk issue.

25. Prohibited Activities

You may not:

26. Platform Availability, Scheduling, and Attorney Availability

TTAE does not guarantee Platform availability, consultation availability, user volume, booking volume, client conversion, revenue, payment, or any specific business outcome.

You are responsible for keeping your availability accurate and for promptly notifying TTAE or users of scheduling issues.

If you become unavailable for a scheduled consultation, you must promptly update availability, notify the appropriate parties through approved Platform channels, and cooperate with rescheduling where appropriate.

Repeated no-shows, late cancellations, inaccurate availability, unprofessional conduct, or failure to communicate may result in suspension, restriction, removal, or termination.

27. Suspension, Restriction, Removal, and Termination

TTAE may suspend, restrict, remove, or terminate your access to the Platform, with or without notice where permitted by law, if you violate these Attorney Terms or any Platform policy; you provide inaccurate, incomplete, outdated, or misleading information; your license, authorization, or good standing cannot be verified; you become suspended, inactive, disbarred, restricted, or unauthorized; you fail to complete recertification; you fail to provide requested verification or insurance information; TTAE receives credible complaints regarding your conduct; a bar complaint, disciplinary issue, regulatory issue, or legal issue arises; you create UPL risk; you create conflict, confidentiality, privilege, or data security risk; you misuse user information; you make improper advertising, referral, endorsement, or ranking statements; you fail to cooperate with a reasonable investigation or inquiry; your continued access may harm users, attorneys, TTAE, service providers, or third parties; or TTAE is required or advised to do so by law, court order, regulator, bar authority, payment processor, platform provider, or professional obligation.

Termination does not relieve you of obligations accrued before termination, including confidentiality, indemnification, payment, cooperation, data protection, and professional responsibility obligations.

28. Disclaimers

To the maximum extent permitted by law, the Platform is provided to attorneys on an "as is" and "as available" basis.

TTAE does not warrant or guarantee uninterrupted Platform access; error-free operation; user volume; consultation volume; client conversion; revenue; payment by users; suitability of users; accuracy of user-submitted information; absence of conflicts; absence of urgent or inappropriate matters; compliance of attorney profile content with applicable professional rules; or that any Platform feature will satisfy your professional obligations.

You remain solely responsible for professional compliance and independent judgment.

29. Limitation of Liability

To the maximum extent permitted by law, TTAE is not liable for:

To the maximum extent permitted by law, TTAE's total liability for any claim arising out of or relating to these Attorney Terms or your participation in the Platform shall not exceed the amount you paid to TTAE during the three months preceding the event giving rise to the claim, unless otherwise required by law.

31. Governing Law and Venue

These Attorney Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Attorney Terms or your participation in the Platform shall be brought exclusively in the state or federal courts located in Delaware, unless otherwise required by applicable law.

Nothing in this section prevents TTAE from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, security, systems, users, attorneys, or Platform operations.

32. Changes to Attorney Terms

TTAE may update these Attorney Terms from time to time. Updated Attorney Terms will be posted on the Platform or otherwise made available.

TTAE may require you to accept updated Attorney Terms before continuing to access, use, be listed on, or provide consultations through the Platform.

Continued use of or participation in the Platform after updated Attorney Terms become effective constitutes acceptance of the updated Attorney Terms.

If you do not agree to updated Attorney Terms, you must stop using the Platform and may not accept further consultations through or in connection with the Platform.

33. Relationship to Other TTAE Documents

These Attorney Terms should be read together with TTAE's Terms of Service; Privacy Policy; Legal Disclaimer / No Legal Advice Notice; State-Specific UPL Disclosures; Refund Policy; checkout terms; attorney onboarding materials; profile rules; security requirements; support procedures; and any additional policies, notices, or written agreements made available through or in connection with the Platform.

If there is a conflict between these Attorney Terms and a separate written agreement signed by TTAE and you, the separate written agreement will control only to the extent of the conflict and only if legally permitted.

If there is a conflict between these Attorney Terms and mandatory professional conduct rules applicable to you, you remain responsible for complying with the mandatory professional conduct rules.

34. Severability

If any provision of these Attorney Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

35. No Waiver

TTAE's failure to enforce any provision of these Attorney Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of TTAE.

36. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Attorney Terms without TTAE's prior written consent.

TTAE may assign, transfer, or delegate these Attorney Terms or any rights or obligations under these Attorney Terms in connection with a merger, acquisition, reorganization, sale of assets, financing, corporate transaction, or by operation of law.

39. SMS / Text Messaging Terms

When you opt in to TTAE's SMS / text messaging program, you agree to receive recurring SMS text messages from TTAE. TTAE collects your mobile number and messaging consent through (a) its websites, landing pages, and attorney registration and early-access forms, and (b) Meta (Facebook and Instagram) lead generation forms. Depending on the consent box you select, messages may include marketing messages (such as platform updates and early-access invitations) and/or non-marketing messages (such as onboarding, scheduling, account, and billing notices).

By providing your mobile number and checking the applicable consent box, you give your express consent to receive these messages, including messages sent using automated technology, and you confirm that you are the subscriber or customary user of the number provided or are authorized to opt in for it. Consent is not a condition of registration, purchase, or use of the Platform.

Message frequency varies. Message and data rates may apply according to your mobile carrier's plan. TTAE does not charge for the messages themselves.

You may cancel the SMS service at any time by replying STOP to any message. After you reply STOP, TTAE will send a confirmation message and then stop sending messages, except where transactional messages are otherwise permitted by law. To rejoin, opt in again through a TTAE form. Reply HELP for assistance, or contact TTAE at support@talktoanexpert.com.

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is not guaranteed. Your mobile information is handled in accordance with the Privacy Policy.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and text messaging opt-in data and consent will not be shared with any third parties.

Acknowledgment: By accessing or participating in the Platform, you acknowledge that you have read, understood, and agree to be bound by these Attorney Terms.
